Amendment to Mexican Property Agreement

Further our news releases of March 7 and February 11, 2002 Amerigo has agreed to sell its Mexican Properties for 300,000 common shares of International Croesus Ventures Ltd.

The transaction remains subject to TSX Venture Exchange acceptance.
